Advertiser terms

Last updated: 2 November 2026

This is a translation for convenience. The Hebrew version is the binding one; if the two differ, the Hebrew text prevails. Hebrew version.

These are the terms for ordering ads in the YouTube channels in the yta.co.il catalog. They apply to every order, in addition to the terms of use and the privacy policy. The service is operated by Shivuknet – Artur Kalandarov, 67 Zalman Shazar St., Tel Aviv ("YTA" or "we"). Our role towards the channel owners: we act as the channel owner’s agent. Paying for an order means you accept these terms.

1. Definitions

  • Integration: an ad placed inside a video on the channel. Mid-roll: a 30 to 40 second ad. Pre-roll: a short 15 to 20 second mention at the start of the video.
  • Package: one video, or 3 different videos with the same ad.
  • Median: the median views of the last ten long videos on the channel, as shown on the channel page and in the order.
  • Guaranteed minimum: the number of views we commit to in the package, under section 6.
  • Media fee: the price of the integrations themselves. Production fee: the price of writing the script, producing the ad and placing it in the video.

2. Advertiser approval and what we do not advertise

  • Every advertiser is reviewed before production starts, usually within one business day. We may decline an advertiser or an ad without giving reasons.
  • No political advertising. We do not advertise parties, candidates, lists, lobbying, public campaigns or campaigns on matters of public controversy, or political advertising of any kind. An account registered in this category is blocked from ordering.
  • We do not advertise products, services or claims that are unlawful, misleading or offensive, or that break YouTube's rules for paid content.
  • The channel owner has a veto over any advertiser on their channel.
  • If we decline an advertiser or an ad after payment, we refund the full amount paid.

3. Disclosure: the word "ad"

Every ad is clearly marked as advertising, as required by law, including the Consumer Protection Law, 5741-1981, and by YouTube's rules:

  • The video is marked on YouTube with the "Includes paid promotion" label.
  • The word "advertisement" in the channel's language (Hebrew: פרסומת, Russian: реклама) is said aloud at the start of the integration and shown on screen throughout it.
  • The video description says "advertisement" next to your link.

This disclosure cannot be waived or reduced, and the ad cannot be presented as a personal endorsement or as the channel's own content.

4. Channel independence

The ad does not influence the channel's content or opinions. You have no control over the content of the video your ad is placed in, beyond the ad itself, and we do not commit to any particular topic, conversation or guest.

5. Price, payment and VAT

  • The mid-roll price is calculated by the formula on the channel page: the median, divided by 1,000, times the price per thousand views in dollars (CPM), times the dollar exchange rate, rounded to ₪10. Pre-roll: 60% of that price. 3-video package: 15% off. The production fee is paid once per ad, per the price list.
  • The final price including VAT, and the guaranteed minimum, are shown before payment. The price you accepted at payment is binding, and later price changes do not apply to your order.
  • Prices are in shekels and exclude VAT. VAT is added at the statutory rate on the invoice date (currently 18%).
  • You pay once, in advance, by credit card through a licensed payment provider. A tax invoice is emailed to you. We do not store card details.
  • Launch offer, until 31.12.2026: on a new advertiser's first order, production is free and the media fee is 25% off. Once per advertiser. The offer combines with the package discount.

6. Guaranteed minimum views

  • The guaranteed minimum for each video in the package is 70% of the median the price was based on, rounded down to the nearest 10 views. In a multi-video package, the minimum is the total views of all its videos together.
  • Views are counted by the whole video's view counter on YouTube (and in YouTube Analytics), not by the number of viewers who watched the ad segment itself.
  • The check is made 30 days after the video goes live. You receive a view report after 7 days and after 30 days.
  • If the minimum is not reached within 30 days, we place the same ad in additional videos on the same channel, at no extra cost, until the total reaches the minimum. This make-good is the only remedy for a views shortfall, and no cash refund is given for it.
  • Once the minimum is reached, we have met our commitment. The ad stays in the video, and every further view is a bonus at no extra cost.
  • We do not guarantee clicks, enquiries, sales, watch time of the ad segment or any particular audience mix.

7. Removed videos

  • If a video carrying the ad is removed, hidden or restricted, by the channel owner, by YouTube or for any other reason, before the minimum is reached, we place the ad in additional videos until it is reached, as in section 6. Views the video gathered before removal count.
  • If a video is removed after the minimum is reached, we have met our commitment. We will not make up views, and no refund is given, because you have already received the views you paid for.
  • We do not commit to keeping the ad in the video for any particular period after the minimum is reached.

8. Script, draft and revisions

  • After payment and your approval as an advertiser, we write a script and send it for approval in your account area, usually within one business day.
  • After you approve the script, we produce a draft. You can request changes directly on the timeline. Included: two rounds of revisions.
  • The ad goes into a video only after you approve the final version. We place it in the first episode published on or after the date you chose, following your approval. The publication date depends on the channel's schedule, and we do not commit to an exact date.
  • If you do not respond to the script or the draft for 3 business days, the order is put on hold until you get back to us.

9. Your responsibility for the ad

  • You are responsible for the accuracy of the brief, for the claims in the ad being true and lawful, and for your product or service complying with every law and regulation that applies to it, for example in health, finance or law.
  • You confirm that you hold the rights in the logo, trademarks and any material you gave us, and you grant us and the channel owner a licence to use them to produce and publish the ad, for as long as it stays in the video.
  • You are responsible for the page the description link leads to.
  • If a claim is made against us or the channel owner because of content you supplied or a claim you approved, you will indemnify us for the damage and reasonable costs, after we notify you and let you defend against it.
  • The rights in the ad we produced and in the video it is placed in belong to us and to the channel owner. Your use of the ad file outside the channel: allowed, but the channel’s own footage stays with the channel.

10. Cancellation and refunds

  • Cancelling before you receive the script: a full refund.
  • Cancelling after you approved the script and before the ad goes live: a 50% refund.
  • Once the ad is live there is no cancellation or refund. Instead, the guaranteed minimum and the removed-video rule apply (sections 6 and 7).
  • If we did not approve you as an advertiser, or cannot place the ad at all (for example if the channel stops operating), we refund what you paid for what was not delivered.
  • If you are a consumer under the Consumer Protection Law, you also have the cancellation rights in that law, and nothing in these terms limits them.
  • Send cancellation requests by email to [email protected]. Refunds are made to the same payment method.

11. YouTube and limitation of liability

  • The ad is published on YouTube and is subject to the YouTube Terms of Service and its policies on paid content. We are not responsible for YouTube's actions, such as algorithm changes, video restrictions, removal or outages, beyond what sections 6 and 7 provide.
  • We are not liable for indirect or consequential loss, such as loss of profit or customers.
  • Our total liability in connection with an order is limited to the amount you paid us in the 3 months before the event.
  • These limits do not apply to damage we caused intentionally or through gross negligence, or to the extent the law forbids limiting liability.

12. General

  • We may update these terms. An order already paid for is subject to the terms in force on the payment date.
  • These terms are governed by the laws of the State of Israel, and the competent courts in Tel Aviv have exclusive jurisdiction.
